End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you, either an individual or an entity ("User" or "You"), and Towards Equlibrium Inc. a Delaware Corp, located at 8911 N Capital of Texas Hwy, Ste 4200-054, Austin, TX 78759, Austin, TX ("Company" or "We"), the provider of Equi ("Application"). This Agreement governs your use of the Application and any related services, including APIs, provided by the Company.

By downloading, installing, accessing, or using the Application, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you must not download, install, access, or use the Application.

1. License Grant

   Subject to the terms of this EULA, the Company grants you a limited, non-exclusive, non- transferable, non-sublicensable license to download, install, and use the Application on a mobile device that you own or control, solely for the purpose of accessing and using the Company's services.
   
   

2. You agree not to, and shall not permit any third party to:

   • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Application or any part thereof;

   • Rent, lease, sell, sublicense, assign, distribute, or transfer the Application, or any rights granted hereunder;

   • Remove, alter, or obscure any proprietary notices, labels, or marks on the Application;

   • Use the Application for any unlawful or fraudulent purpose, or in any manner that violates the terms of this EULA or any applicable law or regulation.
     
     

3. Third-Party Services and APIs

   The Application may integrate, interact, or provide access to third-party services and APIs ("Third-Party Services"). The Company is not responsible for the operation, functionality, availability, or content of any Third-Party Services. Your use of Third-Party Services is subject to the terms and conditions and privacy policies of the respective third-party providers. The Company makes no representations or warranties regarding any Third-Party Services, and shall not be liable for any damages arising from your use of or reliance on such services.
   
   

4. Intellectual Property Rights

   The Company and its licensors retain all rights, title, and interest in and to the Application and any related materials, including all intellectual property rights therein. The Application is protected by copyright, trademark, and other intellectual property laws and international treaties.
   
   

5. Terms of Use, Privacy Policy and Cookie Policy and Precedence of Terms

   By using the Application, you acknowledge and agree that you have read, understood, and agree to be bound by the terms of the Company's Privacy Policy and Terms of Use Policy which are incorporated herein by reference. Your continued use of the Application constitutes your acceptance of any changes to the Terms of Use Policy, and Privacy Policy.

   In the event of any discrepancy or inconsistency between the terms of this EULA and the Company's Terms of Use and/or the Privacy Policy, the provisions of the Terms of Use and/or Privacy Policy shall prevail and control. Your continued use of the Application constitutes your acceptance of any changes to the Terms of Use Policy and the Privacy Policy.
   
   

6. Termination

   This EULA is effective until terminated. The Company may terminate this EULA at any time without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies of the Application from your mobile device.
   
   

7. Disclaimer of Warranties

   The Application is provided "AS IS" and without warranties of any kind, whether express or implied. The Company disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
   
   

8. Limitation of Liability
   In no event shall the Company be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Application, whether in contract, tort, or otherwise, even if the Company has been advised of the possibility of such damages.

   
   

9. Governing Law

   This EULA shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of laws principles.

   
   

10. Severability
    If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force.

    
    

11. Solicitation
    “Equilibrium Ventures, LLC (“Equi”) is a Texas based and Texas Registered Investment Adviser that manages various U.S. private funds. Equi does not hold out its investment advisory services to the general public. The material in this “app” does not constitute an offer or solicitation to invest. It is provided for use by existing Equi clients, the service providers of such clients, and also for discussion and informational purposes by select interested third parties. The material is also not intended for use in any location where any potential future offer or solicitation would be prohibited by law or require some special registration or license by Equi (unless such a registration or license has already been obtained).
